3.3 Majority Ownership (Please confirm that the agency is majority African-owned and -operated by providing a summary of the ownership structure).

*“African ownership” refers to holding a minimum threshold of fifty-one percent (51%) of the total equity, shareholding, or equivalent controlling interest in an entity by persons or institutions that are African nationals, legally domiciled in an African Union (AU) Member State, or otherwise qualifying as African-owned entities under the laws of an AU Member State. To meet the requirement of “majority African-owned,” the entity must be structured so that ultimate authority and strategic decisionmaking rest principally with African owners. This includes the ability to direct corporate policies, appoint directors, and determine operational strategies without being overridden by non-African shareholders. The Applicant hereby unequivocally certifies that they Applicant qualifies as African Owned. In the event that the applicant misrepresents the ownership structure, the association reserves the right to revoke or suspend membership with immediate effect.

  • I/We acknowledge having reviewed and understood the provisions of the ACRA Constitution, including Article 3 (Membership), Article 5 (Code of Ethics and Practice), and Article 6 (Obligations of Members).
  • I/We agree to comply at all times with ACRA’s Code of Ethics and Practice, as well as all regulations and board notices applicable to credit rating agencies, where relevant.
  • I/We undertake to uphold the reputation and mission of ACRA through adherence to the principles of independence, transparency, and credibility.


5. SUPPORTING DOCUMENTATION

  • A copy of the applicant’s founding documents (e.g., Articles of Incorporation, Memorandum of Association, Constitution).
  • Proof of majority African ownership and African operational control (if applying for Full Membership).
  • Certificates or letters of good standing from relevant regulatory authorities.
  • Proof of address and identification (for individuals or sole proprietors).
  • Signed acknowledgement of having read and accepted the ACRA Constitution Code of Ethics and Practice (Annexure “A” to the Application Form).


6. MEMBERSHIP FEES

Pursuant to Article 3.6 of the ACRA Constitution, the Association may charge membership fees to defray the costs of its operations and initiatives. Our fees are expressed in USD ($).

  • Full Membership: Annual fee of $499.00
  • Affiliate Membership: Annual fee of $99.00
All successful applicants will be invoiced for the applicable membership fee upon acceptance of their application. Payment is due within thirty (30) days of invoicing, unless otherwise stipulated and is a condition for registration as member.
